Terms of Service & Placement Agreement

Welcome to The RN Network Talent Exchange™, operated by The RN Network, LLC ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our professional networking platform designed specifically for registered nurses and healthcare professionals.
By completing the subscription process and submitting payment for any plan or service offered through The RN Network Talent Exchange™, the Client expressly acknowledges and agrees to be bound by these Terms of Service. Continued access or use of the Service following payment constitutes ongoing acceptance of all applicable terms and any updates thereto.
The RN Network Talent Exchange™ is a professional networking platform that connects nurses across different specialties, facilitates knowledge sharing, career development opportunities, and professional collaboration. Our services include specialized networking groups, continuing education resources, job placement assistance, and industry-specific communication tools tailored for the healthcare environment.

Subscription fees are clearly outlined on our website at https://www.rnnet.org. All fees are non-refundable unless otherwise specified in writing. We reserve the right to modify our pricing with thirty (30) days written notice to active subscribers.
"Time of Hire" means the candidate's official start date of employment (i.e., the date the candidate begins work for the Client, whether in a full-time, part-time, temporary, contract, or other engagement).
By submitting payment information, the Client authorizes The RN Network, LLC to securely store the Client's payment information through Stripe (or a substantially similar PCI-compliant payment processor) and to automatically charge the full placement fee to the credit card provided on the candidate's Time of Hire. In the event the automatic credit card charge fails on the candidate's Time of Hire, The RN Network, LLC will issue an invoice for the full placement fee immediately, which shall be due and payable within twenty-four (24) hours of issuance.
We are committed to protecting your privacy and maintaining the confidentiality of information shared on our platform. Our Privacy Policy, incorporated herein by reference, details how we collect, use, and protect your information.
The RN Network, LLC explicitly acknowledges and respects the professional autonomy of all registered nurses using our platform. Nothing in these Terms shall be construed as interfering with a nurse's professional judgment, clinical decision-making, or adherence to their professional code of ethics and state licensing requirements.
All content, features, and functionality of The RN Network Talent Exchange™, including but not limited to text, graphics, logos, and software, are owned by The RN Network, LLC and are protected by copyright, trademark, and other intellectual property laws.
THE RN NETWORK, LLC PROVIDES THE SERVICE ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE SERVICE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE RN NETWORK, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
We do not guarantee employment opportunities, professional advancement, or any specific outcomes from your use of The RN Network Talent Exchange™. All networking, career development, and professional opportunities are subject to individual qualifications, market conditions, and employer discretion.
Any disputes, controversies, or claims arising out of or relating to these Terms or your use of the Service will be first addressed through good faith negotiation. If unresolved, such matters shall be submitted to mediation, and if still unresolved, to binding arbitration in the State of Ohio, pursuant to the rules of the American Arbitration Association. Each party will bear its own fees and costs unless otherwise determined by the arbitrator.
We reserve the right to terminate or suspend your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately.
We may modify these Terms at any time by posting the revised Terms on our website. Your continued use of the Service after such modifications constitutes acceptance of the revised Terms.
These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law principles. The Company's principal place of business is located at 450 Skyline Ln, Pickerington, OH 43147.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
